1. Introduction

These Terms of Business govern the provision of services and/or products by Strettle of Newcastle Ltd (“we”, “us”, or “our”) to our customers (“you” or “client”).

By engaging our services or purchasing our products, you agree to be bound by these Terms.

2. Our Services

We provide the following services:

Funeral and Memorial Service

Full details of services, pricing, and deliverables will be set out in individual quotations, proposals, or agreements provided to the client.

3. Quotations and Orders

  • All quotations are valid for 30 days unless stated otherwise.
  • A contract is formed once:
    • You accept our quotation, and
    • We confirm acceptance in writing or begin work.
  • We reserve the right to refuse or cancel an order prior to acceptance.

4. Pricing and Payment

4.1 Fees

Fees for services or products will be as stated in our quotation or invoice. The quotation is an indication of the charges likely to be incurred on the basis of the information that we have at the date of the quotation. Whilst we make every effort to ensure the accuracy of our quotation, the charges are liable to be altered, particularly where third parties change their rates or charges. We may not know the exact amount of third party charges in advance, although we will give you our best estimate. The actual amount of charges will be detailed and shown in the final account.

4.2 Payment Terms

  • As per order form or invoice.

4.3 Late Payments

If payment is not received by the due date:

  • We may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998.
  • We may suspend services until payment is received.

5. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information required for the provision of services
  • Respond promptly to requests for information or approvals
  • Comply with all applicable laws and regulations

Delays caused by the client may result in adjusted delivery timelines.

6. Delivery of Services

We will use reasonable care and skill in delivering our services.

Estimated delivery dates are provided for guidance only and are not guaranteed unless agreed in writing.

7. Changes to Scope

If you request changes to the agreed work:

  • We will confirm any additional costs or revised timelines before proceeding.
  • Additional work may require a new quotation or variation agreement.

8. Cancellation and Termination

8.1 Client Cancellation

Clients may cancel services by providing written notice.

However, we reserve the right to charge for:

  • Work already completed up to the cancellation date
  • Costs already incurred

8.2 Our Right to Terminate

We may terminate services if:

  • Invoices remain unpaid
  • The client breaches these Terms
  • Continued work becomes impractical or unlawful

9. Intellectual Property

Unless otherwise agreed in writing:

  • All intellectual property created during the provision of services remains the property of Strettle of Newcastle Ltd until full payment is received.

10. Confidentiality

Both parties agree to keep confidential any information disclosed during the course of the business relationship, unless disclosure is required by law.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Our liability for any claim arising out of services or products is limited to the amount paid for the relevant service or product.
  • We will not be liable for any:
    • indirect
    • consequential
    • or loss of profits

Nothing in these Terms excludes liability that cannot legally be excluded under UK law.

12. Data Protection

We process personal data in accordance with applicable UK data protection legislation, including the UK General Data Protection Regulation and the Data Protection Act 2018.

13. Force Majeure

We will not be liable for delays or failure to perform caused by circumstances beyond our reasonable control, including but not limited to:

  • natural disasters
  • power failures
  • internet outages
  • government restrictions
  • international conflict resulting in disruptions to international shipping and logistics

15. Governing Law

These Terms of Business shall be governed by and interpreted in accordance with the laws of England and Wales.
